ChelPipe provides company information to its shareholders, private and institutional investors in a fair and timely manner in an effort to deepen their understanding of ChelPipe's operations and activities, and enable them to appropriately evaluate ChelPipe's corporate value.
ChelPipe is committed to timely disclosure of material information, including management decisions and events that may have an impact on investment decisions and financial closing information, in accordance with the Russian securities regulations and other relevant laws and regulations and timely disclosure rules of stock exchanges where ChelPipe is listed.
Under the Russian securities regulations, ChelPipe is required to make the following public disclosures and filings:
- filing of quarterly reports with the FSFM containing information about ChelPipe, its shareholders, management bodies, members of the Board of Directors, branches and representative offices, shares, working capital, bank accounts and auditors, important developments during the reporting quarter and other information about its financial and business activity and disclosing the same on ChelPipe’s website
- disclosure in an authorised newswire and on ChelPipe’s website of any information concerning material facts and changes in ChelPipe’s financial and business activity, including its reorganisation, certain changes in the amount of its assets, decisions on share issuances, certain changes in ownership and shareholding, as well as resolutions of the General Shareholders’ Meeting as well as certain decisions of the Board of Directors and other information which may materially affect the value of ChelPipe’s shares
- disclosure of ChelPipe’s charter and internal regulations on its website
- disclosure of ChelPipe’s annual report and annual financial statements prepared in accordance with RAS
- disclosure of a list of ChelPipe’s affiliated persons on its website on a quarterly basis; and disclosure of other information, as required by applicable Russian securities legislation
